Welcome to SellerSage (https://sellersage.in), a software-as-a-service (SaaS) platform developed, owned, and operated exclusively by HushNest, a sole proprietorship registered in Tamil Nadu, India (“HushNest”, “we”, “us”, or “our”).

By accessing, registering for, connecting your Amazon Selling Partner API (SP-API) / Advertising API credentials to, or utilizing any portion of the SellerSage application, dashboard, or associated messaging integrations (including WhatsApp and Telegram bots), you (“User”, “Seller”, “you”, or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree with these Terms, you must immediately cease all access and disconnect your Amazon seller account.

1. Structure of Business & Sole Proprietorship Notice

1.1. Sole Proprietorship Entity: SellerSage is a proprietary software product owned entirely by HushNest (Sole Proprietor: Vignesh). HushNest is an independent entity operating under the laws of India.

1.2. No Separate Corporate Entity: You acknowledge that HushNest operates as a sole proprietorship — there is no separate corporate entity or limited liability shield. To the maximum extent permitted by applicable law, any legal claim, dispute, or proceeding arising under or in connection with these Terms shall be directed strictly against HushNest within the limitations set forth herein.

1.3. Eligibility & Minimum Age: By accessing or using SellerSage, you represent and warrant that you are at least eighteen (18) years of age and are legally capable of entering into a binding contract under the Indian Contract Act, 1872. If you are accessing SellerSage on behalf of a business entity, you further represent that you have the authority to bind that entity to these Terms.

2. Description of Service & Human-in-the-Loop Architecture

2.1. Scope of Service: SellerSage provides multi-tenant inventory analytics, automated restock predictions, advertising campaign analysis, pricing recommendations, and order management tools for Amazon sellers by interfacing with official Amazon Selling Partner APIs (SP-API) and Amazon Advertising APIs.

2.2. Human Approval Guardrail (Human-in-the-Loop): SellerSage operates on an explicit “Human-in-the-Loop” architecture. All actionable recommendations—including but not limited to advertising bid adjustments, product repricing updates, listing changes, or inventory actions—require explicit manual review and positive confirmation by the User via the SellerSage dashboard or authorized messaging webhooks (e.g., WhatsApp or Telegram).

2.3. No Unilateral Execution: HushNest will never execute write operations to your Amazon store without user-initiated authorization or explicit, seller-configured execution rules.

3. Amazon Non-Affiliation & Third-Party API Reliance

3.1. Independent Software Application: SellerSage is an independent software application. HushNest is not affiliated with, endorsed by, sponsored by, or partnered with Amazon.com, Inc., Amazon Services LLC, or any of their affiliates (“Amazon”).

3.2. API Dependency & Downtime: SellerSage relies strictly on access granted via Amazon SP-API and Advertising API authorization tokens. HushNest shall not be held liable for any service interruption, delay, data inaccuracy, rate-limiting, or feature degradation caused by Amazon system outages, SP-API maintenance, policy alterations, or API endpoint deprecation.

3.3. Amazon Account Health & Policy Enforcement Disclaimer: HushNest shall have zero liability for any warnings, policy violations, listing suppressions, Buy Box losses, account suspensions, or enforcement actions initiated by Amazon against the User’s seller account. The User retains 100% sole responsibility for ensuring that their marketplace activities, pricing structures, and inventory strategies comply with Amazon’s Business Solutions Agreement and applicable local laws.

3.4. System Glitches, Telecommunications & API Outages: SellerSage relies on third-party cloud infrastructure, messaging webhooks (WhatsApp, Telegram), payment gateways (Razorpay), AI model providers, and Amazon SP-API endpoints. HushNest does not warrant uninterrupted service and shall not be held liable for API rate-limiting, data sync delays, corrupted payloads, network downtime, messaging delivery failures, or feature loss caused by any third-party system outage, maintenance, deprecation, or policy change.

4. User Accounts, Credentials, Security & Intellectual Property

4.1. Account Responsibility: You are solely responsible for maintaining the confidentiality of your SellerSage account credentials and for all activities conducted under your account.

4.2. Amazon OAuth Authorization: You authorize SellerSage to connect to your Amazon Selling Partner account using Login with Amazon (LWA) OAuth tokens. You retain the right to revoke this API authorization at any time directly through your Amazon Seller Central dashboard (“Manage Your Apps”).

4.3. Prohibited Conduct: You shall not:

• Reverse engineer, decompile, or attempt to extract the source code of SellerSage.
• Use SellerSage to facilitate any activity that violates Amazon’s Business Solutions Agreement or Amazon’s Acceptable Use Policy.
• Share API keys, access tokens, or account access with unauthorized third parties.
• Attempt to bypass system rate limits, data isolation controls, or security frameworks.

4.4. Intellectual Property & System Misuse: Users shall not reverse engineer, decompile, frame, mirror, or scrape any portion of SellerSage’s application, dashboard, or webhook payloads. Users retain all ownership rights to their underlying seller account data. HushNest retains all right, title, and interest (including all intellectual property rights) in and to SellerSage, its software code, restock and pricing algorithms, user interface designs, AI prompt workflows, and system outputs. All algorithmic outputs, restock predictions, and fee calculation models remain the exclusive intellectual property of HushNest.

4.5. Account Suspension & Termination: HushNest reserves the right to suspend, freeze, or terminate any User account if the User breaches these Terms, violates Amazon’s terms, engages in fraudulent or abusive conduct, attempts to reverse-engineer SellerSage algorithms, or abuses WhatsApp or Telegram webhook notifications. In cases involving a genuine security emergency, illegal activity, or an imminent risk of harm to HushNest’s systems or other users, suspension or termination may be immediate and without prior notice. For all other breaches, HushNest will, where reasonably practicable, provide 48 hours’ written notice to the email address associated with your account before suspension or termination takes effect. Suspension or termination does not waive any rights HushNest may have under these Terms or at law.

4.6. Changes to These Terms: We reserve the right to modify these Terms at any time to reflect changes in our service, legal obligations, or business practices. Material changes will be communicated via email to the address associated with your account and/or via a prominent notice within the SellerSage dashboard at least 15 days before the revised Terms take effect. For non-material changes (such as typographical corrections or clarifications that do not affect your rights or obligations), the updated Terms will be posted on this page without separate notice. Continued use of SellerSage after the effective date constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must cease use of SellerSage and cancel your account before the changes take effect.

5. Algorithmic Insights & AI Disclaimer

5.1. Advisory Nature of Metrics: All analytics, stockout predictions, fee calculations, buy-box insights, and AI-generated campaign proposals provided by SellerSage are for informational and operational guidance only.

5.2. No Guarantee of Commercial Outcome: HushNest makes no representation or warranty regarding potential sales growth, ACOS reduction, margin increase, or Amazon Buy Box ownership percentage resulting from your use of SellerSage recommendations. You retain ultimate responsibility for evaluating financial risks before approving any price or bid change.

5.3. Feedback & Feature Submissions: Any feedback, feature requests, or suggestions provided by Users or beta testers regarding SellerSage become the sole and exclusive property of HushNest. HushNest may freely incorporate such feedback into the product without restriction, credit, or compensation.

6. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SELLERSAGE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. HUSHNEST EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT. HUSHNEST DOES NOT WARRANT THAT SELLERSAGE WILL BE ERROR-FREE, UNINTERRUPTED, COMPLETELY SECURE, OR FREE FROM DATA LOSS.

7. Limitation of Liability & Indemnification

7.1. EXCLUSION OF INDIRECT DAMAGES: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUSHNEST, ITS SOLE PROPRIETOR (VIGNESH), EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES—INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, AMAZON ACCOUNT SUSPENSION, INVENTORY STOCKOUTS, OVERSPENT ADVERTISING BUDGETS, OR BUSINESS INTERRUPTION—ARISING OUT OF OR IN CONNECTION WITH SELLERSAGE.

7.2. AGGREGATE LIABILITY CAP: THE TOTAL AGGREGATE LIABILITY OF HUSHNEST FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF SELLERSAGE SHALL BE STRICTLY LIMITED TO THE GREATER OF:

(A) THE TOTAL FEES PAID BY YOU TO SELLERSAGE IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR

(B) ₹5,000 (or US$100).

7.3. Indemnification: You agree to defend, indemnify, and hold harmless HushNest and its proprietor from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your violation of these Terms.
• Your violation of any Amazon policies or third-party rights.
• Actions taken on your Amazon Seller Central account resulting from manual confirmations provided by you through SellerSage.

8. Subscriptions, Fees, and Cancellation

8.1. Billing Tiers: Access to SellerSage is provided on a subscription basis under the pricing plans displayed on https://sellersage.in/pricing.

8.2. Beta Access & Free Tiers: During active development or beta testing periods, access may be granted free of charge or under capped usage thresholds (e.g., Starter tier order volume caps). HushNest reserves the right to modify subscription tiers upon notice.

8.3. Refund Policy: Unless explicitly stated otherwise in writing, all subscription fees processed (via Razorpay or authorized payment gateways) are non-refundable. You may cancel your subscription at any time to prevent future billing cycles. See our Refund Policy for full details including chargeback procedures.

9. Governing Law, Dispute Resolution & Jurisdiction

9.1. Governing Law: These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

9.2. Jurisdiction: Any legal dispute, suit, action, or proceeding arising out of or relating to these Terms or SellerSage shall be subject to the exclusive jurisdiction of the competent courts located in Coimbatore, Tamil Nadu, India.

9.3. Class Action Waiver & Individual Dispute Mandate: To the maximum extent permitted by applicable law, all claims, disputes, or controversies arising out of or relating to these Terms or SellerSage shall be brought in the User’s individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Disputes shall be subject strictly to the exclusive jurisdiction of the competent courts in Coimbatore, Tamil Nadu, India, and shall be governed by Indian law.
